Key requirements for business acquisition and buy out transactions are as follows:
- Must be a 100% change of control of ownership
- Minimum of 10% buyer equity
- Transaction price needs to be supported by a business valuation
- Seller may not be active in the business for longer than 12 months
- Seller financing must be subordinated
- Personal guarantees are required by each owner of 20% or more
- U.S. citizen or permanent resident
- Buyer must have industry or complementary experience
- The business must have positive financial performance
- A 5-year non-compete agreement is usually required
